Walmart Inc. Terms of Use for Workplace (Global)
Workplace from Meta (“Workplace”) is a business collaboration tool provided by Walmart Inc. (“Walmart”) solely for the internal, authorized use of Walmart Associates and other authorized users (“Users”). These Terms of Use apply to Walmart and its global Markets where Workplace is available. Specific Terms of Use for WMGS Europe, Argentina (Spanish), Argentina (English), Canada, India and Japan are included below.
Use of Workplace is governed by these Terms of Use, and all applicable Walmart policies as well as local Market policies (“Policies”), such as the Walmart Code of Conduct, the Global Discrimination & Harassment Prevention Policy; the Walmart Social Media Policy; the Walmart Records Management Policy; the Walmart Information Policy; the Company-Issued Equipment & Systems Usage Policy; the Rest Break, Meal Periods and Days of Rest Policy; and the Associate Pay Policy. Use of Workplace must also comply with the Workplace Acceptable Use Policy. Any violations of these Policies may result in disciplinary action, up to and including termination. We expect you to act in a manner consistent with Walmart's Basic Beliefs: Respect for the Individual, Service to our Customers, Striving for Excellence, and Acting with Integrity.
Workplace is intended to enable Users to collaborate with each other by posting work-related messages and other company- and community-related content (“Contributions”). Workplace can be used for work-related conversations, professional and corporate development, and awareness of Walmart initiatives and activities. Non-exempt Walmart Associates are strictly prohibited from using Workplace to perform work for Walmart during non-working hours and when off the clock, without prior written permission from a salaried member of management and ensuring an appropriate time adjustment is made. Keep in mind that you may be more likely to resolve work-related complaints by speaking directly with your co-workers or by utilizing our Open Door Communications Policy than by posting complaints to a social media outlet. Nevertheless, if you decide to post complaints or criticism, avoid using statements, photographs, video or audio that reasonably could be viewed as malicious, obscene, threatening or intimidating, that untruthfully disparage customers, members, associates or suppliers, or that might constitute unlawful harassment or bullying. Examples of such conduct might include offensive posts meant to intentionally harm someone's reputation with knowingly false information or posts that could contribute to a hostile work environment on the basis of race, sex, disability, religion or any other status protected by law or company policy.
You understand and represent that:
- You may not post Contributions that contain any content that could be deemed highly sensitive under the Walmart Information Policy.
- When you access Workplace from personal or public computer, you must log off of Workplace when you end your session. Failure to do so may result in unauthorized disclosure of Walmart Information. When you access Workplace from a personal mobile device, you are responsible for assuring that the device is configured to prevent unauthorized access to Workplace.
- You have reviewed the Walmart Social Media Policy and represent that your Contributions comply in all respects with that policy;
- You have taken steps to ensure you have complied with the applicable local Market records management policy for each Contribution made to Workplace;
- You received and read a copy of these Terms of Use and understand that it is your responsibility to be familiar with and abide by its terms.
- Contributions subject to Legal Hold must be retained according to the directions in the Legal Hold Directive;
- Walmart strictly prohibits non-exempt Associates from accessing Workplace or using Workplace to perform work for the company during nonworking hours. Walmart strictly prohibits non-exempt Associates from accessing Workplace or using Workplace to perform work for the company when not on the company’s premises, without prior written permission from a salaried member of management.
- Contributions will be removed from Workplace on a regular basis; and
- You understand and acknowledge that you are employed at-will and this Acceptable Use Policy does not modify your at-will employment status. Neither this policy nor any other communication pertaining to the use of this policy, whether oral or written, is intended in any way to create a contract of employment.
For non-US Associates, if this Agreement is translated, this English-language version will control. In addition, you consent to having any of your personal data that is submitted to Workplace transferred to and processed in the United States.
Please note that if you access Workplace via a personal mobile device, individual cell phone and data usage rates apply, and will not be reimbursed by Walmart, unless required by applicable law.
Rules Governing Contributions.
You should make sure you are familiar with all applicable Policies, including those listed above, before you submit Contributions for posting to Workplace. Your Contributions must comply with this Agreement, and all applicable laws, regulations and Walmart Policies. In addition, you agree that you will not do any of the following:
(a) post Contributions that infringe the intellectual property or other legal rights of Walmart or any other person;
(b) post Contributions that contain worms, viruses, Trojan horses, malicious code, or other harmful or destructive content or that constitutes, installs, or promotes spyware on Walmart's or any other person's computer;
(c) post spam or other content suggesting no serious intent to use Workplace for its stated purpose;
(d) post Contributions containing the image, likeness or voice of any person without receiving their consent;
(e) post Contributions that contain advertisements, solicit any User to engage in for-profit commercial sale of products or services to the public (other than Walmart products or services), or use Workplace for any for-profit commercial purpose including, but not limited to, collecting user names and/or email addresses of other Users by electronic or other means for the purpose of sending unsolicited for-profit commercial email or other electronic communications or engaging in unauthorized framing of, or linking to, Workplace for for-profit commercial purposes without the express written consent of Walmart;
(f) impersonate any other person or entity, sell or let others use your profile or password, provide false or misleading identification or address information, or violate the personal or proprietary legal rights of any person or entity;
(g) accept payment or anything of value from a third person in exchange for your performing any for-profit commercial activity on Workplace; and/or
(h) Post any Contribution that may expose a Walmart trade secret or business proprietary information, or any Contributions containing information regarding the development of systems, processes, products, know-how and technology without first obtaining approval from the subject matter specific legal team.
Grant of License to Walmart.
If your Contribution includes any content owned or created by you, you grant to Walmart a perpetual, non-exclusive, fully-paid, and royalty-free (meaning that Walmart is not required to pay you to use your Contribution), sublicensable, and worldwide (because the Internet and the Website are global in reach) license to use, modify, create derivative works of, publicly perform, publicly display, reproduce, rent, resell, and distribute the Contribution.
Intellectual Property Rights.
All of the content on Workplace ("Materials"), the trademarks, service marks, and logos contained on Workplace ("Marks") are owned by or licensed to Walmart and are subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Materials on Workplace are provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any for-profit commercial or non-work-related purposes whatsoever without the prior written consent of the respective owners. Walmart and its licensors reserve all rights not expressly granted in and to the Workplace and the Materials. You agree that you will not circumvent, disable, or interfere otherwise with security related features of Workplace or features that prevent or restrict use or copying of any Materials or enforce limitations on use of Workplace or the Materials on the Website.
Walmart retains its ownership of all its rights, including, but not limited to copyrights, trade secrets and trademarks, and nothing in any permitted activities on Workplace provides any rights in them to you.
Walmart's Management of Workplace.
Walmart may, but is not required to: (a) monitor or review Workplace, including Contributions, for violations of this Agreement, and for compliance with Walmart's policies; (b) take appropriate action against anyone who violates the Policies, including, without limitation, reporting anyone who violates this Agreement to law enforcement authorities in the event of potential criminal violations; (c) refuse, restrict, or disable access to any Contribution (to the extent technologically feasible); (e) remove any User’s Contribution or any portion thereof that may violate the law, this Agreement or any Policy; (d) remove or otherwise disable all files and content that are excessive in size or otherwise burdensome to Walmart's systems; (e) terminate use by users who violate the law or any Policy; (h) manage Workplace in a manner designed to protect the rights and property of Walmart and others and to comply with the law; and/or (i) facilitate the proper functioning of Workplace.
Content that Violates This Policy.
If you become aware of any Content that you believe violates the Policies referenced above, please notify Walmart using the functionality provided on Workplace. Violations of law and Walmart policy may also be reported to the Global Ethics helpline, 1-800-WMETHIC (1-800-963-8442). Nothing in these Terms of Use should be construed to discourage or prohibit associates from engaging in activity allowed under the National Labor Relations Act, including speaking with or sharing information with others about their terms and conditions of employment.
Copyright Policy.
Walmart may terminate the access rights of copyright infringers. If you are a copyright owner or the legal agent of a copyright owner and you believe that Contribution or any content on Workplace infringes upon your copyrights, you may submit a notification pursuant to the Walmart Digital Millennium Copyright Act ("DMCA") Notice Process.
For U.S. Associates only:
If you are not a supervisor, you have the right to engage in, as well as the right not to engage in, group activity concerning your workplace when that activity is protected by a federal law called the National Labor Relations Act. This includes communications with others about your pay, hours, work schedules, discipline, and other terms and conditions of employment, as well as group activity to address your workplace concerns. Nothing in this policy should be read as interfering with these rights.

Workplace - Terms of Use (WMGS Europe)
Workplace from Meta is a business collaboration tool provided by Walmart Inc. solely for the internal, business use of Asda Colleagues, Walmart Associates and other users with authorised access. It is a public forum and any content you create or contribute can be considered suitable for all colleagues. It must not be used for:
a) Personal or social use including personal advertising,
b) To resolve work related disputes or complaints, or
c) Statements, photographs, video or audio that could be viewed as malicious, obscene, threatening, intimidating, harassing or bullying.
Workplace is intended to enable users to collaborate with each other by posting work related messages and other content (contributions). Workplace can be used for work related conversations, professional and corporate development, and awareness of Asda initiatives and activities.
These Terms of Use and applicable Asda and Walmart policies govern use of Workplace.. Breaching these terms, or any related Policies, may result in disciplinary action, up to and including termination. Where necessary, criminal violations will be reported to law enforcement authorities.
Workplace Post Guidelines
- Before sharing content (such as posts, videos and photos) created by someone else, get their permission.
- Do not post any malicious content that you feel may cause harm e.g. viruses, Trojans or other harmful content.
- Do not post spam or malicious content.
- Do not post content about someone without their permission.
- Workplace is for work-related content only — do not post busines confidential or personal information relating to Colleagues and Customers.
- Keep your user ID and password safe and do not share it with others.
- Do not accept payment from any of our suppliers in exchange for performing any commercial activity or promotions on Workplace.
- Do not post any highly sensitive or sensitive information or information that may be useful to our competitors on Workplace.
Grant of License to Walmart
If you contribute any content that you exclusively own onto Workplace, you grant Walmart a licence to use, modify, create derivative works of, publicly perform, publicly display, reproduce, rent, resell, and distribute the contribution.
Walmart's Management of Workplace.
WMGS Europe and Walmart May…
- Monitor or review Workplace activity to ensure that usage is in line with these Terms of use and applicable policies,
- Refuse, restrict or disable access to any contributions,
- Remove any contribution or terminate use of Workplace for any user that violates the law, Terms of Use or corporate Policy.
Content that Violates This Policy.
If you become aware of any content that you believe violates these Terms of Use or any applicable Asda/Walmart Policies, please notify your line manager following the grievance policy.
Violations may also be reported to the Asda Ethics Team ethics@asda.co.uk.
Copyright.
Walmart may terminate accounts for users who infringe copyrights. If you are the copyright owner and believe any contribution breaches the copyright, you may report using the Walmart Digital Millennium Copyright Act ("DMCA") Notice Process.

(“Walmart Argentina”) reserves the right to update or modify these Terms of Use at any time and from time to time without prior notice to you by updating these Terms of Use as it appears on Workplace. Your use of Workplace following any such change constitutes your unconditional agreement to follow and be bound by these Terms of Use as updated or modified.

All of the content on Workplace ("Materials"), the trademarks, service marks, and logos contained on Workplace ("Marks") are owned by or licensed to Walmart and are subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Materials on Workplace are provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any for-profit commercial or non-work-related purposes whatsoever without the prior written consent of the respective owners. Walmart and its licensors reserve all rights not expressly granted in and to the Workplace and the Materials. You agree that you will not circumvent, disable, or interfere otherwise with security related features of Workplace or features that prevent or restrict use or copying of any Materials or enforce limitations on use of Workplace or the Materials on the Website.
Walmart retains its ownership of all its rights, including, but not limited to copyrights, trade secrets and trademarks, and nothing in any permitted activities on Workplace provides any rights in them to you.
Walmart's Management of Workplace.
Walmart may, but is not required to: (a) monitor or review Workplace, including Contributions, for violations of this Agreement, and for compliance with Walmart's policies; (b) take appropriate action against anyone who violates the Policies, including, without limitation, reporting anyone who violates this Agreement to law enforcement authorities in the event of potential criminal violations; (c) refuse, restrict, or disable access to any Contribution (to the extent technologically feasible); (e) remove any User’s Contribution or any portion thereof that may violate the law, this Agreement or any Policy; (d) remove or otherwise disable all files and content that are excessive in size or otherwise burdensome to Walmart's systems; (e) terminate use by users who violate the law or any Policy; (h) manage Workplace in a manner designed to protect the rights and property of Walmart and others and to comply with the law; and/or (i) facilitate the proper functioning of Workplace.
Content that Violates This Policy.
If you become aware of any Content that you believe violates the Policies referenced above, please notify Walmart using the functionality provided on Workplace. Violations of law and Walmart policy may also be reported to the Global Ethics helpline, 1-800-WMETHIC (1-800-963-8442).
Copyright Policy.
Walmart may terminate the access rights of copyright infringers. If you are a copyright owner or the legal agent of a copyright owner and you believe that Contribution or any content on Workplace infringes upon your copyrights, you may submit a notification pursuant to the Walmart Digital Millennium Copyright Act ("DMCA") Notice Process.

Walmart Terms of Use for Workplace (India)
Workplace from Meta (“Workplace”) is a business collaboration tool provided by Walmart Inc. (“Walmart”) solely for the internal, business use of Walmart Associates in U.S. as well as other markets and other authorized users (“Users”).
Use of Workplace is governed by these Terms of Use, and all applicable Walmart policies as well as local Market policies (“Policies”), such as the Walmart Code of Conduct, the Global Discrimination & Harassment Prevention Policy; the Walmart Social Media Policy; the Walmart Records Management Policy; the Walmart Information Policy; the Company-Issued Equipment & Systems Usage Policy; the Rest Break, Meal Periods and Days of Rest Policy; and the Associate Pay Policy. Use of Workplace must also comply with the Workplace Acceptable Use Policy. Any violations of these Policies may result in disciplinary action, up to and including termination. We expect you to act in a manner consistent with Walmart's Basic Beliefs: Respect for the Individual, Service to our Customers, Striving for Excellence, and Acting with Integrity.
Workplace is intended to enable Users to collaborate with each other by posting work-related messages and other content (“Contributions”). Workplace can be used for work-related conversations, professional and corporate development, and awareness of Walmart initiatives and activities. Workplace can be used only by full time Walmart associates and not by retainers, or contract workers. Keep in mind that you may be more likely to resolve work-related complaints by speaking directly with your co-workers or by utilizing our Open Door Communications Policy than by posting complaints to a social media outlet. Nevertheless, if you decide to post complaints or criticism, avoid using statements, photographs, video or audio that reasonably could be viewed as malicious, obscene, threatening or intimidating, that untruthfully disparage customers, members, associates or suppliers, or that might constitute unlawful harassment or bullying. Examples of such conduct might include offensive posts meant to intentionally harm someone's reputation with knowingly false information or posts that could contribute to a hostile work environment on the basis of race, sex, disability, religion or any other status protected by law or company policy.
You understand and represent that:
- You may not post Contributions that contain any content that could be deemed highly sensitive under the Walmart Information Policy.
- When you access Workplace from personal or public computer, you must log off of Workplace when you end your session. Failure to do so may result in unauthorized disclosure of Walmart Information. When you access Workplace from a personal mobile device, you are responsible for assuring that the device is configured to prevent unauthorized access to Workplace.
- You have reviewed the Walmart Social Media Policy and represent that your Contributions comply in all respects with that policy;
- You have taken steps to ensure you have complied with the Walmart Records Management Policy for each Contribution made to Workplace;
- You received and read a copy of these Terms of Use and understand that it is your responsibility to be familiar with and abide by its terms.
- Contributions subject to Legal Hold must be retained according to the directions in the Legal Hold Directive;
- Contributions will be removed from Workplace on a regular basis; and
- You understand and acknowledge that you are employed at-will and this Acceptable Use Policy does not modify your at-will employment status. Neither this policy nor any other communication pertaining to the use of this policy, whether oral or written, is intended in any way to create a contract of employment.
For non-US Associates, if this Agreement is translated, this English-language version will control. In addition, you consent to having any of your personal data that is submitted to Workplace transferred to and processed in the United States.
Please note that if you access Workplace via a personal mobile device, individual cell phone and data usage rates apply, and will not be reimbursed by Walmart, unless required by applicable law.
Rules Governing Contributions.
You should make sure you are familiar with all applicable Policies, including those listed above, before you submit Contributions for posting to Workplace. Your Contributions must comply with this Agreement, and all applicable laws, regulations and Walmart Policies. In addition, you agree that you will not do any of the following:
(a) post Contributions that infringe the intellectual property or other legal rights of Walmart or any other person;
(b) post Contributions that contain worms, viruses, Trojan horses, malicious code, or other harmful or destructive content or that constitutes, installs, or promotes spyware on Walmart's or any other person's computer;
(c) post spam or other content suggesting no serious intent to use Workplace for its stated purpose;
(d) post Contributions containing the image, likeness or voice of any person without receiving their consent;
(e) post Contributions that contain advertisements, solicit any User to engage in for-profit commercial sale of products or services to the public (other than Walmart products or services), or use Workplace for any for-profit commercial purpose including, but not limited to, collecting user names and/or email addresses of other Users by electronic or other means for the purpose of sending unsolicited for-profit commercial email or other electronic communications or engaging in unauthorized framing of, or linking to, Workplace for for-profit commercial purposes without the express written consent of Walmart;
(f) impersonate any other person or entity, sell or let others use your profile or password, provide false or misleading identification or address information, or violate the personal or proprietary legal rights of any person or entity;
(g) accept payment or anything of value from a third person in exchange for your performing any for-profit commercial activity on Workplace; and/or
(h) Post any Contribution that may expose a Walmart trade secret or business proprietary information, or any Contributions containing information regarding the development of systems, processes, products, know-how and technology without first obtaining approval from the subject matter specific legal team.
Grant of License to Walmart.
If your Contribution includes any content owned or created by you, you grant to Walmart a perpetual, non-exclusive, fully-paid, and royalty-free (meaning that Walmart is not required to pay you to use your Contribution), sublicensable, and worldwide (because the Internet and the Website are global in reach) license to use, modify, create derivative works of, publicly perform, publicly display, reproduce, rent, resell, and distribute the Contribution.
